JUTENGCON – English Law of Contract
Course content
Note: This course will be given a new code from spring semester 2006, and you will find all relevant information JUR5260 – English Law of Contract (discontinued)
The course will focus on English/American contractual law, including the formation of contracts (the concepts of offer and acceptance and consideration), the concept of privity, the rights of third-party beneficiaries to a contract, principles of agency and the assignment of contractual rights. In addition, the course will cover the terms of a contract, including express and implied terms, agreements to modify the terms of a contract and the various defences to the formation of a contract, including misrepresentation, duress, fraud, mistake, and lack of contractual capacity. The course will also require knowledge of what constitutes a breach of contract, the remedies available for breach, the law relating to the damages, excuse for non-performance, and the doctrine of frustration.
